1. Definitions
"We", "us" and "our" refer to Wholesale Wood UK, a trading name of The Luxury Wood Company Ltd (Company Number 07981034). "You" and "your" refer to the buyer. "Goods" refers to all products supplied by us.
2. Orders & Pricing
- All prices are quoted Ex-Works (Retford) unless otherwise stated and are exclusive of VAT.
- Prices are subject to change without notice. A confirmed quotation remains valid for 7 days unless otherwise specified.
- We reserve the right to decline any order at our discretion.
- Minimum order quantities apply and vary by product.
3. Payment
- Payment terms are agreed on a per-customer basis. Standard terms are 30 days from invoice date.
- Extended terms (60 or 90 days) may be available for established customers, subject to credit checks.
- We reserve the right to charge interest on overdue payments at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998.
- Title to the goods does not pass until payment is received in full.
4. Delivery
- Delivery dates are estimates only and not guaranteed. We will not be liable for any losses arising from late delivery.
- Risk in the goods passes to the buyer upon delivery or collection.
- The buyer is responsible for providing adequate access for delivery vehicles. Additional charges may apply for difficult access or failed deliveries.
- Delivery charges are quoted separately and depend on location, quantity and vehicle requirements.
5. Quality & Specifications
- Timber is a natural product and variations in colour, grain, knots and dimensions are normal and expected.
- Moisture content readings are indicative and may vary across individual pieces.
- Oak sleeper grading (Landscaping / Rustic) is as described on our website. Images are representative only.
- Claims for defective goods must be notified in writing within 48 hours of delivery with photographic evidence.
6. Returns & Cancellations
- As a wholesale supplier, sales are business-to-business and the Consumer Contracts Regulations do not apply.
- Cancellation of confirmed orders may incur a restocking charge of up to 25%.
- Goods may only be returned with our prior written agreement. Return shipping is at the buyer's expense.
7. Limitation of Liability
Our liability in respect of any claim shall not exceed the invoice value of the goods in question. We shall not be liable for any indirect, consequential or economic loss. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, or fraud.
8. Force Majeure
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: acts of God, fire, flood, strikes, supply chain disruptions, import/export restrictions, or government action.
9. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
